Terms and conditions of sale

These terms and conditions of sale ("T&Cs") govern the relationship between D&D Team Sàrl, Avenue du Général-Guisan 52, 1180 Rolle, Switzerland (UID/VAT: CHE-287.813.822 VAT), trading as BEcorporate ("BEcorporate"), and its business customers.

1. Scope

These T&Cs apply to all offers, product sales and personalisation services (branding, embroidery, printing, engraving, etc.) provided by BEcorporate. Any order implies acceptance of these T&Cs. Deviations are only valid if agreed in writing. The customer's own general terms do not apply, even without express objection.

2. Offers and quotes

Unless stated otherwise, our quotes are valid for 30 days from their date of issue. Prices and information displayed on shop.becorporate.ch are indicative, excluding VAT and personalisation; only the quote is binding for the final price, including branding and delivery. Product images are not contractually binding.

3. Orders and proof approval

An order becomes binding upon the customer's written approval of the quote (by e-mail or via the client area). For any personalisation, a proof is submitted to the customer; production only starts after its approval. The customer is solely responsible for the content approved (texts, spelling, logos, colours, positioning). Any change requested after proof approval may incur additional costs and postpone the delivery date.

4. Prices

Prices are in Swiss francs (CHF) or euros (EUR) as per the quote, excluding VAT. Applicable VAT and any delivery, packaging or customs costs are shown separately in the quote or invoice.

5. Payment

Unless otherwise agreed, a down payment of 50% of the order amount is payable upon order; the balance is payable upon delivery. In the event of late payment, default interest of 5% per annum is due (art. 104 of the Swiss Code of Obligations); BEcorporate may also suspend ongoing orders and deliveries until full payment.

6. Lead times and delivery

Delivery times are indicative; they run from proof approval and receipt of the down payment. A reasonable overrun entitles the customer neither to cancel the order nor to damages. Force majeure and delays attributable to suppliers or carriers extend the deadlines accordingly. Unless otherwise agreed, delivery is at the customer's expense; benefit and risk pass to the customer upon handover of the goods to the carrier.

7. Manufacturing tolerances

On-screen colour rendering (product pages and proofs) may differ slightly from the final result depending on materials, substrates and branding processes. Such minor variations, customary in the industry, as well as suppliers' manufacturing tolerances (dimensions, weight, shade), do not constitute defects.

8. Inspection and complaints

The customer inspects the goods upon receipt. Apparent defects must be notified in writing within 8 days of receipt; hidden defects as soon as they are discovered. Failing a complaint within these deadlines, the goods are deemed accepted.

9. Returns

Personalised products are neither taken back nor exchanged, except in the case of a proven defect. Non-personalised products may only be returned with BEcorporate's prior written consent, in new condition and in their original packaging; return costs are borne by the customer.

10. Warranty and liability

In the event of an acknowledged defect, BEcorporate will, at its option, replace the goods, rework them or issue a credit note. Any further claims are excluded to the extent permitted by law. BEcorporate's liability is limited to the amount of the order concerned; compensation for indirect damage (loss of profit, damage to image, etc.) is excluded.

11. Files, logos and third-party rights

The customer warrants that it holds all rights (trademarks, copyright, image rights) to the logos, texts and visuals it provides, and holds BEcorporate harmless from any third-party claims in this respect. Production files created by BEcorporate (vectorisations, embroidery programmes, templates) remain the property of BEcorporate.

12. Retention of title

The delivered goods remain the property of D&D Team Sàrl until full payment of the price.

13. Data protection

The processing of personal data in the course of the business relationship is described in our privacy policy.

14. Governing law and jurisdiction

These T&Cs and all contracts concluded with BEcorporate are governed by Swiss law, to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction is the registered office of D&D Team Sàrl, subject to mandatory legal provisions.
